Customer Group Total Annual Gross Revenue |
Means the then current annual aggregate gross revenue of Customer Group for its most recent fiscal year, (as determined in accordance with generally accepted accounting principles), including Customer Group New Inorganic Gross Revenue for that fiscal year. “Customer Group” means the Customer and each of its then current direct and indirect wholly owned subsidiaries. “Customer Group New Inorganic Gross Revenue” means the then current aggregate gross revenue of all entities first acquired by or merged with Customer Group during its most recent fiscal year (as determined in accordance with generally accepted accounting principles) for the period commencing on the respective acquisition or merger date through the end of that fiscal year. |

Channels |
A "channel" is defined as a single, independent data connection capable of transferring one file or data stream concurrently with other channels. The number of licensed channels corresponds to the maximum number of simultaneous file transfers the licensed software instance can handle. Adding more channels increases parallelism, throughput, and efficiency by enabling multiple files to be transferred at the same time. This license metric is protocol-agnostic but must be tracked in accordance with the software's supported data communication protocols. Licensing is based on the total number of parallel transfer channels the customer is authorized to deploy and use at any given instant. |

Represents either a "Device" or a "User". A User allows access to the Software up to the stated maximum number of individual users; Each separate log-on accessing the Software will be counted as a separate user. |
