Allows access to the Software for unlimited use in the Licensed Business Entity. License fees are based on Annual Gross Revenue of the Licensed Business Entity (as set forth below), provided that any future Inorganic Revenue Growth will be subject to payment of additional license and support fees at Infor’s then current rates. For purposes herein, “Annual Gross Revenue” means total annual gross revenue of the Licensed Business Entity for the then-most recently completed fiscal year plus any Inorganic Revenue Growth during the then-current fiscal year. “Inorganic Revenue Growth” means growth of the Licensed Business Entity attributable to any acquisition, consolidation, asset transfer, merger, amalgamation, takeover or other inorganic growth transaction involving another entity, business or product line, or part thereof (an “Acquired Business”), and is calculated on the basis of the total annual gross revenue of the Acquired Business at the time of such transaction.

"Named Users" represents the maximum of Named Users which may access the Software and each named user (e.g. login ID) requires an authorization. |
