Quantity represents the maximum annual number of unique references processed by the Subscription Software for shipping or tracking, including, but not limited to: a package tracking number, a PRO number, and a waybill number. Shipping-related transactions include but are not limited to: Truck FTL Shipment: Maximum number of full truck shipments. 1 per unique Truck Carrier BOL#.Truck LTL Shipment: Maximum number of Less-Than-Full Truck Load (LTL) Truck Shipments per year. 1 shipment per unique LSP H-BOL# or Truck carrier BOL#Parcel: Maximum number of Parcels shipped per year. A shipment is per unique parcel tracking number assigned by the carrier.Rail: Maximum number of Rail Shipments per year. A shipment per unique rail bill of lading number (RailBOL#) manifested in the system, incremental to the prior billing period. |

Shipment Volume |
The maximum total annual shipments per mode per year. One "shipment" is determined as they appear one of the “Shipment” list pages in the application. One for each unique header-level shipment that is identified by a unique shipment ID/reference number. Specific rules for estimating shipment volume for each mode are: Multi-leg shipments are counted and invoiced as separate shipments if they appear as separate shipments on one of the "Shipment” list pages, e.g. if created by separate ASN, "create manifest" action on the UI or during the “Transportation Planning Process”. Ocean feeders or transshipments, multiple flights in air, multi-stop truck moves are counted and invoiced as one shipment if they are modeled as such (i.e. only one shipment record with unique ID/reference number for all segments of shipment). |

Quantity represents the maximum number of separate physical address locations from which shipping takes place, utilizing the Software. An increase to the number of locations shall require written agreement of both parties and payment of the then current fees. |

Quantity represents the maximum number of shipping related transactions stored in, counted by or processed by the Software such as unique references used for shipping or tracking, including, but not limited to a package tracking number, a PRO number, a waybill number, a trade compliance screening run number and any unique reference used for customs declarations/document production. The Quantity of Shipping Transactions are measured annually and may not be exceeded during annual twelve-month periods. Each such annual period of measurement is deemed to as of the effective date of this Order Form and end as of each anniversary of the effective date of this Order form. |

Means a single, independently managed, (i) Customer-owned operating facility located at a specific physical address or (ii) a separate legal entity, to which the Software has also been authorized in the Agreement, at the same physical address; for which Customer utilizes the Software to process information for that single site or entity. An operating facility may include, but is not limited to, a manufacturing plant, warehouse distribution site, data center site, or central office. |

Shall be defined as a single legal entity that Customer invoices (“Customer’s Client”) which Licensee utilizes the Software for or in conjunction with, and the scope of the license shall be strictly limited to the business conducted between Licensee and each Customer’s Client, and shall be between Zero ($0) and One Hundred Thousand Dollars ($100,000.00) in total per annual Licensee fiscal term. An upgrade of an existing Site or the addition of Sites is subject to payment of the then current Fees and shall be fully identified in an Order Form signed by both parties. Means a single, independently managed, (i) Customer-owned operating facility located at a specific physical address or (ii) a substantive self-contained operating unit generating stand-alone outputs and operating at the same physical address or (iii) a separate legal entity, to which the Software has also been authorized in the Agreement, at the same physical address; for which Customer utilizes the Software to process information for that single site or entity. An operating facility may include, but is not limited to, a manufacturing plant, warehouse distribution site, data center site, or central office. This authorization allows access to the Software up to the same number of Authorized Users authorized to use the related core Software (the “Core Software”). The total number of Users simultaneously logged on to the Software may not exceed the total number of Authorized Users authorized to use the Core Software. |

Senior Leader Positions in Scope |
Quantity represents the maximum number of all active senior leader positions associated with the organizations in scope. A senior leader position shall be any management position with responsibilities that include managing at least one other manager or one or more departments within an organization; such positions include, without limitation, all job titles that include any of the following words or translations thereof: Chief, Chairman, Partner, Executive, Officer, Dean, President, Vice-President, Corporate, Division, or Director. Each senior leader position within an organization shall be counted, whether such position is occupied or open and notwithstanding that multiple positions may share the same job title. |
