Quantity represents the maximum number of items that may be processed in or by the Software on an annual basis; and an item shall include, but not necessarily be limited to each receipt image file processed by, submitted to or transmitted in any way via, the Software that supports the processing of each item (collectively “processing” or “processed”); and all items processed shall be counted against the maximum Quantity regardless of the status of each such item or results of the processing. |

Restricted Enterprise License |
Means any legal entity (such as a corporation) that is majority owned and controlled, directly or indirectly by Customer (i.e. by virtue of the ownership and control of at least 51% of the voting capital stock and assets of each such entity each hereinafter collectively the “Related Companies”) are restricted to either having Customer utilize the Software to process the internal business of the Related Companies or to allow Named Users of the Related Companies to remotely access and use the Software on the Equipment authorized and designated herein to process the respective internal business of the Related Companies, but only up to a maximum quantity of up to 7500 Named Users, who Customer or the Related Companies currently employs as employees (and excluding any third parties who are not employees of Customer or a Related Company) as of the Order Form Date plus such additional Named Users that Customer or the Related Companies may employ after the Order Form Date as a direct result of organic Growth of Customer’s or the Related Companies’ internal employee workforce, which means additional employees hired by Customer or the Related Companies generally as a result of business growth or increase to Customer’s or a Related Companies’ operations or workforce that are not in any way acquired as employees as the result of any merger or acquisition undertakings or transactions entered into by Customer or a the Related Companies. Any employees acquired by Customer or the Related Companies as a result of non-organic business growth (i.e. merger or acquisition undertakings or transactions entered into by Customer) must be additionally authorized by Customer on a per Named User basis in accordance with Infor’s then current terms and pricing. Customer acknowledges and agrees that any such access or usage is further subject to the following: (i) each Name (e.g. login ID) requires an authorization. Each authorization may only be assigned to a single and exclusive log-in. Customer may not utilize any method or program to automatically reassign a log-in from one user to another; (ii) Customer’s representation and warranty to Infor that Customer has the authority to execute this Order Form on behalf of the Related Companies and that this Order Form and the Agreement are each a valid and binding agreement of the Related Companies, enforceable against each of the Related Companies in accordance with its terms; (iii) any access or usage is limited to accessing the Software that are installed and authorized for use on the Equipment at the Location of the Equipment as identified herein; (iv) Infor in its sole reasonable discretion does not deem any Related Companies to be directly or indirectly a competitor of Infor or any of its Affiliates; (v) each of the Related Companies continues to remain affiliated with Customer by virtue of the fact that Customer continues to directly or indirectly own and control at least 51% of the voting capital stock and assets of each of the Related Companies; (vi) the Software are accessed and used for the sole purpose of administering the internal business of Customer and/or the Related Companies; (vii) any individual or collective access or usage does not exceed the authorized quantity of Named Users (i.e. up to 7500 Named Users plus additional Named Users as a result of organic business growth) and otherwise all access and usage complies with all other terms and restrictions established by the Agreement and this Order Form; and (viii) Customer indemnifies and holds Infor harmless from any breach of this Order Form and/or the Agreement by any of the Related Companies. |

Quantity represents the maximum number of security profile log-ins that may access any of the Software specifically authorized under this methodology. Customer agrees to assign to each person a unique security profile log-in which shall not be shared by multiple persons. The total number of Registered Users shall include the total number of assigned security profile log-ins irrespective as to whether such person is actively logged on to the Software at a given point in time. Customer may not automatically reassign or delete security profile log-ins from one person to another either during use or upon their logging-off of the Software, including but not limited to utilizing any method or program to automatically reassign a log-in from one user to another. |

Resource Utilization |
Quantity represents the maximum number of full time equivalent Infor resources utilized for the establishment and maintenance of enhancements to the Subscription Services in any month during the Subscription Term. The Resource Utilization quantity limitation shall apply separately to each month during the Subscription Term. In the event that the maximum Resource Utilization quantity is not fully utilized in any month, it shall not accumulate or roll forward to any subsequent month. Any Resource Utilization in excess of the stated quantity limitation shall be billable at Infor’s then current rates. |
