Compliance Clause - Section 2 of the Settlement Agreement dated 22-Jan-13 - "The license fees listed in this Software Schedule reflect an annual revenue-based licensing metric and are based on the annual revenues of Client including all corporations whose stock is wholly owned by Client ("Wholly Owned Subs"). Client agrees to provide, for Infor's review under the terms of a nondisclosure agreement, in the form attached hereto as Attachment I, beginning on or before March 31, 2013 a financial report for the prior year ending December 31, 2012 listing the total annual revenues of Client and its Wholly Owned Subs, the accuracy and completeness of which has been attested to by Client's Chief Financial Officer, and annually thereafter on or before March 31 for each subsequent reporting period for the prior year ending on December 31. If the total annual revenues for Client and its Wholly Owned Subs are greater than U.S. $500 million dollars, license upgrade fees and annual support upgrade fees, calculated in accordance with Infor's then current fee structure and policies, shall be immediately due and payable to Infor and Client agrees to make such payment in full upon receipt of Infor's correct invoice." Units |
A unit is "based on the particular software product licensed to the client." At this time client was using 65.5 licensed units. Client may only have access to Source Code as long as they are active on M&S. The Central Site is currently designated at 3M Center, St. Paul, MN 55144. As long as the Central Site is current on payment of M&S, the CLIENT subsidiary location using the Software products will also be entitled to receive Software products and document changes through the Central Site. Units: Each of the INF modules that they are using has a “unit value” attached to it. Each copy of the module that’s in use counts against the total of the units for which they have a license. Upon written request Client will provide SSA Global with an audit report showing the CLIENT locations currently using, the Software products currently in use at each location and the shipment or uninstalled date. GL counts as 1.5 units per copy, AP (or any of PL/GT/IR - any combination of the three counts as 1) as 1.0 AR as 1.0 FA as 0.5 CM is .25 units if it’s the first (only) application at a location, 0.125 units if it’s the second, 0.125 units if it’s the third, And free if it’s the fourth AM and QY are 0 units. |
