Enterprise Employee |
Allows unlimited use of the Software within the licensed legal entities and within the licensed number of Customer’s and its Affiliate’s employees (“Licensed Employees Number”). The Licensed Employees Number is based on Customer’s and Customer’s Affiliates average quantity of employees of the calendar year 2011 amounting to 6.500 (“Effective Employees Number”). The Licensed Employees Number includes an increase-buffer of less than 10% of Licensee’s Effective Employees Number. If Customer exceeds the Licensed Employees Number in future, then Customer is obliged to pay an upgrade fee as follows: For every 10% increment of the Effective Employees Number Customer shall pay 10% of the agreed net license fees of the Software defined in this Enclosure - Software License and Software Support – CORE. On a yearly basis Customer shall submit to Infor in writing a report specifying the average quantity of its and its Affiliates employees of the precedent year. The report shall include sufficient evidence of the number and shall be received by Infor until 30th June every year. In case an upgrade becomes necessary the parties agree to sign a corresponding order form within 30 days from Infor’s reception of the report. The upgrade fees will become due upon signature of the order form by both parties. |

Enterprise Generic User |
Allows use of the Software designated as ETGU for Application Users up to the maximum number of MGU. “MGU" means the maximum number of named individuals that may use the application consisting of the Software designated as "ETGU" (if any) in this Order Form (“Application Users”) or other previously signed, irrespective of whether any such user is actively logged on to the Software at any given time. Customer agrees to assign each Application User a unique identification profile, it being agreed that to the extent Customer uses generic user profiles as a means to access the Software, each separate log-on accessing the Software will also be counted as a separate user. |

Quantity represents the maximum number of Enterprise Unique Identifiers and an Enterprise Unique Identifier (EUID) is an auto-generated electronic unique person ID that is assigned to linked records representing the same person from within or across multiple disparate systems in a logical linkage set. |

External Named Users |
Allows access to the Software through an internet and/or mobile based interface up to the stated maximum number of individual named users, irrespective as to whether any such user is actively logged on to the Software at a given point in time, and irrespective as to whether any such user is an employee, an external consumer, a partner or an affiliate of the Customer. For the avoidance of doubt, unless specified elsewhere, only those Software with this User Restriction Type are authorized for use by third parties and affiliates. |

External Supplier |
Quantity represents the maximum number of external supplier companies which can be granted remote access to the Software by Customer in order to conduct business with Customer, irrespective as to whether or not any such external supplier is actively logged on to the Software at any given point in time. Each individual External Supplier may permit internet browser only access to the Software by its employees, up to the stated number of External Named Users identified above, solely for the purpose of conducting business with Customer. If no limit is specified for the maximum Quantity of EXNU, then the maximum shall be 20. Customer shall be responsible for assuring all External Supplier and all External Named Users abide by the terms and conditions of the Agreements and this Order Form. For the avoidance of doubt, unless specified elsewhere, only those Software with this User Restriction Type are authorized for use by third parties and affiliates, as specified herein. "External Named User" - allows access to the Software through an internet and/or mobile based interface up to the stated maximum number of individual named users, irrespective as to whether any such user is actively logged on to the Software at a given point in time.
